1. Acceptance
By using brandvertex.one or engaging services from BrandVertex Pte. Ltd. (UEN 202834710M), registered at 290 Orchard Road, #12-03 Paragon, Singapore 238859 ("BrandVertex", "we"), you accept these Terms of Service. If you disagree, do not use our website or services.
2. Service description
BrandVertex is a brand strategy and identity marketing studio. We provide brand strategy, visual identity design, brand messaging, brand architecture, rebrand programmes, brand launch campaigns, brand guidelines and related digital marketing alignment for Singapore businesses and regional clients.
BrandVertex is NOT:
- A representative or owner of third-party brand names shown in portfolio examples unless explicitly stated with consent
- A life coaching, personal transformation or wellness programme — .one is a brand TLD, not a lifestyle product
- A maths, graph-theory or 3D "vertex" technology product
- A provider of guaranteed ROI, revenue, lead volume, ranking positions or viral reach
- A web-design-only shop without brand strategy capability
- A provider of SEO spam, get-rich-quick courses, crypto signals or MLM marketing funnels
3. Website conduct
You agree to use brandvertex.one lawfully. Prohibited actions include unauthorised system access, malware transmission, content scraping without permission, identity misrepresentation in forms and unauthorised commercial republication of site content.
4. Contract formation
Website content including programme descriptions and indicative SGD pricing is informational only. Binding contracts require signed service agreements. Contact form submissions do not create a client relationship until confirmed in writing.
5. Marketing results disclaimer
BrandVertex provides professional brand strategy, identity design and campaign stewardship. Portfolio examples and case metrics are illustrative only. We do not guarantee specific ROI, revenue, lead volume, ranking positions, viral reach, conversion rates or sales outcomes. Brand and campaign effectiveness depends on market conditions, SGD budgets, product-market fit, competitive dynamics, platform changes and client-side execution. Projections during planning are estimates, not promises.
6. Fees and payment
Fees are quoted in Singapore Dollars (SGD). Payment terms appear in individual agreements. Deposits are generally non-refundable once work commences. Late payment may incur permitted interest under Singapore law.
7. Intellectual property
BrandVertex retains ownership of pre-existing methodologies, frameworks, templates and studio tools developed independently of client engagements. Client-specific deliverables — including custom identity systems, brand guidelines and messaging documents created under contract — transfer to the client upon full payment unless otherwise agreed in writing.
Clients warrant they have rights to all materials, logos, photography and brand assets supplied for use in identity projects. Clients indemnify BrandVertex against third-party claims arising from materials the client provided without proper authorisation. Anonymised portfolio use of completed work is permitted unless confidentiality agreements explicitly prohibit display.
8. Confidentiality
Both parties protect confidential information shared during engagements, except where disclosure is legally required. Obligations survive termination for the period specified in service agreements or three years if unspecified.
9. Client obligations
Clients provide timely feedback, accurate brand information and designated approvers. Delays may affect timelines without our liability. Clients ensure their products and marketing claims comply with applicable laws and platform policies.
10. Platform claims
We do not display Google Partner, Meta Business Partner or similar badges unless current, verifiable membership exists. We describe platform experience factually without implying official affiliation beyond stated certifications.
11. Limitation of liability
To the fullest extent permitted by Singapore law, BrandVertex is not liable for indirect, incidental, special, consequential or punitive damages including lost profits, lost goodwill or lost business opportunities arising from use of our website or services. Our total liability for any claim arising from a specific engagement shall not exceed the fees paid by the client for that engagement in the twelve months preceding the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited under applicable Singapore law. Clients acknowledge that brand and marketing outcomes depend on factors outside our control and agree that fee structures reflect professional services rather than guaranteed commercial results.
12. Indemnification
You indemnify BrandVertex against claims arising from your breach of these Terms, violation of third-party rights, or materials you provide, except where caused by our gross negligence or wilful misconduct.
13. Termination
Termination follows individual agreement terms. Retainer clients may cancel with 30 days notice unless otherwise agreed. We may suspend services for non-payment after reasonable notice.
14. Privacy
Personal data handling is governed by our Privacy Policy and PDPA 2012. Contact forms require explicit PDPA consent. Cookies are described in our Cookie Policy.
15. Governing law
These Terms are governed by Singapore law. Disputes are subject to the exclusive jurisdiction of Singapore courts.
16. Amendments
We may update these Terms. The "Last updated" date reflects the current version. Continued website use after changes constitutes acceptance.
16. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, platform outages or widespread telecommunications failures. Affected parties shall notify the other promptly and use reasonable efforts to resume performance under the service agreement.
17. Severability and entire agreement
If any provision is found unenforceable, remaining provisions continue in effect. These Terms together with signed service agreements constitute the entire agreement regarding website use unless otherwise stated in writing. Prior oral or written representations not incorporated into a signed agreement are excluded.
18. Assignment
Clients may not assign their rights under a service agreement without our written consent. BrandVertex may assign its rights to a successor entity in connection with a merger or acquisition, with notice to affected clients where required.
19. Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Waivers must be in writing to be effective.
20. Dispute resolution process
Before initiating legal proceedings, parties agree to attempt good-faith resolution through direct negotiation. Either party may request a structured discussion within 14 days of written notice describing the dispute. If unresolved within 30 days, either party may pursue remedies available under Singapore law and these Terms.
21. Notices
Formal notices under these Terms or service agreements shall be sent to the registered office addresses or email addresses specified in the relevant contract. Notices to BrandVertex may be sent to [email protected] with copy to the registered address at Paragon, Orchard Road.

23. Deliverables and acceptance
Brand strategy, visual identity and messaging deliverables are subject to acceptance procedures defined in each service agreement. Clients receive defined review periods to provide consolidated feedback. Failure to respond within agreed timeframes may constitute deemed acceptance of deliverables at the current milestone. Revision rounds beyond those specified incur additional SGD fees documented in a change order.
24. Subcontractors and partners
BrandVertex may engage specialist subcontractors for photography, illustration, print production or trademark search coordination. Subcontractors are bound by confidentiality obligations and, where they process personal data, by data protection terms consistent with our Privacy Policy. We remain responsible to clients for subcontractor performance within the scoped engagement.
25. Dispute resolution
Parties agree to attempt good-faith resolution of disputes through direct negotiation before initiating legal proceedings. Either party may request mediation through a mutually agreed mediator in Singapore. Nothing in this section prevents either party from seeking urgent injunctive relief where necessary to protect intellectual property or confidential information.
26. Publicity
Unless a confidentiality agreement prohibits it, BrandVertex may identify clients by name and display completed identity work in portfolio materials after public launch. Clients may request anonymisation in writing before project commencement. We do not claim affiliation with third-party brand names shown in anonymised examples.
